These Terms

These Terms govern the provision of investigative, surveillance activities and litigation support services by Dolos Investigations.


WHEREAS

  1. These Terms set out the basis upon which we undertake all instructions and shall apply unless otherwise agreed in writing.
  2. We will carry out a conflict of interest assessment prior to accepting instructions.

1. Definitions and Interpretation

Standard definitions apply including:

  • “we”, “us”, “our” = Dolos Investigations
  • “Client”, “you” = the instructing party
  • “Services” = investigative, surveillance or related services
  • “Commencement Date” = date instructions are accepted
  • “Confidential Information” = all non-public information shared

Interpretation rules (plural, gender, headings etc.) apply in the usual way.


2. Communication

We will communicate with appropriate persons within your organisation unless instructed otherwise.
All instructions must be confirmed in writing within 2 business days if initially given verbally.


3. Liability

Our services are based on information provided by the Client and are for the Client’s use only.
We accept no responsibility for reliance by third parties.


4. Rights of Third Parties

Our duties are owed solely to the Client.
No third party has rights under this agreement.


5. Provision of Services

5.1 Services will be provided from the Commencement Date as agreed.
5.2 We will exercise reasonable skill and care in line with industry standards.
5.3 We will follow lawful instructions only.

5.4 Legal Compliance (Added Clause)

We shall at all times comply with all applicable laws, regulations, statutes, codes of practice and professional standards relevant to the provision of our services, including but not limited to data protection, privacy, surveillance, anti-bribery and employment legislation in force within the United Kingdom.

5.5 We may act on the Client’s behalf where agreed.
5.6 We reserve the right to amend terms with written notice.


6. Client Obligations

The Client must:

  • Provide accurate and lawful instructions
  • Supply necessary information promptly
  • Obtain any required third-party permissions
  • Ensure access where required

Delays caused by the Client are not our responsibility.


7. Fees and Payment

  • Estimates or quotations will be provided where possible
  • Third-party costs remain the Client’s responsibility
  • Payment on account may be required
  • Invoices may be issued during or after services
  • Late payments may incur interest (up to 8% above base rate)

8. Confidentiality

Both parties agree to:

  • Keep all confidential information secure
  • Not disclose unless required by law
  • Use information only for agreed purposes

This obligation continues after termination.


9. Data Protection

We will:

  • Handle personal data in accordance with UK GDPR
  • Act as Data Processor unless otherwise determined
  • Maintain appropriate security measures
  • Assist with subject access requests where required
  • Notify the Client of any data breach

10. Limitation of Liability

We are not liable for:

  • Loss of profit, business, or indirect damages
  • Third-party failures

Total liability is limited to the value of services provided.


11. Force Majeure

We are not liable for delays caused by events outside our control (e.g. weather, strikes, system failures, etc.).


12. Termination

Either party may terminate instructions in writing.
All outstanding fees remain payable up to termination.


13. Effects of Termination

Upon termination:

  • Outstanding sums become payable
  • Confidentiality obligations remain in force
  • Materials must be returned if requested

14. No Waiver

Failure to enforce any term does not waive rights.


15. Further Assurance

Both parties agree to take necessary steps to fulfil this agreement.
We may use anonymised case examples for marketing unless confidentiality is breached.

We may use subcontractors where required.


16. Severance

If any provision is unenforceable, the remainder remains valid.


17. Law and Jurisdiction

This Agreement is governed by the laws of England and Wales.


18. Acceptance

By instructing Dolos Investigations, the Client agrees to these Terms.
